Job Description Job Description Corporate Associate Attorney – Private Equity / Mergers & Acquisitions (Mid-Level) Location: Pittsburgh, PA Direct Counsel is seeking a Mid-Level Corporate Associate Attorney to join a leading international law firm’s Global Corporate practice in its Pittsburgh office. This role offers the opportunity to work on sophisticated middle-market and large-cap transactions alongside experienced deal teams in a collaborative, high-performance environment. Qualifications: The ideal candidate will have 3–5 years of corporate transactional experience , including representing public and private companies in mergers and acquisitions, private equity transactions, venture capital matters, securities offerings, and securities law compliance. Candidates should have substantial hands-on experience drafting and negotiating complex M&A and private equity transaction documents and related investment agreements. Experience serving as a key member of deal teams, managing diligence, and running core aspects of transactions from diligence through closing is required. Candidates must be admitted to practice in Pennsylvania or eligible for admission. Responsibilities: Draft and negotiate acquisition, equity, and related transactional documents in client-ready form Serve as a core contributor on deal teams handling middle-market M&A and private equity transactions Manage key workstreams, including due diligence, transaction structuring, and closings Advise clients on general corporate matters and securities compliance issues Compensation & Benefits: The anticipated salary range for this role is $235,000 – $365,000 , depending on experience and other factors.
